Minimum Remuneration Payable to Independent and Non-Executive Directors

The MCA by its Notification dated March 18, 2021 has amended Schedule V of the Companies Act, introducing separate limits to annual remuneration payable to non-executive directors, including independent directors, in case of loss or inadequate profits of the company. These limits depend on the effective capital of the company, e.g. where the effective capital is negative or less than Rs 5 crores, the limit of yearly remuneration payable should not exceed Rs 12 lakhs to each such director.
